The PTO provides for programs designed to enhance each grade’s current curriculum, provides teachers with additional
materials not covered in the school’s budget, and hosts many family-fun and community events.

Bylaws of the Highland View PTO


Article I
Name

The name of this organization shall be the Highland View Parent Teacher Organization.


Article II
Purposes and Objectives

The objectives of this organization shall be:

A. To create and foster a spirit of cooperation and understanding between the school and the home.

B. To encourage parents to volunteer their services wherever needed in and for the school.

C. To help the school maintain and improve educational and extracurricular objectives.

D. To provide a forum for the open discussion of all matters affecting the education and well being of the children.


Article III
Basic Policies

Section A. This organization shall not endorse or recommend any candidate for public office nor shall partisan politics or sectarian religion be debated by members in meetings of this organization.

Section B. No officer or member of this organization shall use his membership as a means of furthering any personal, political, or other aspiration, nor shall the organization, as a whole, take part in any movement not in keeping with its purposes and objects.

Section C. Any suggestion or proposition made at any meeting of this organization calling for the expenditure of money for other than the regular obligations shall be referred to the executive board.

Section D.    The purpose or purposes for which the organization is organized:   The organization is organized exclusively for charitable purposes under section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code.

Section E.    Limitations on the distribution of net earnings of the organization:  No part of the net earnings of the organization shall inure to the benefit of, or be distributable to its members, trustees, officers, or other private persons, except that the organization shall be authorized and empowered to make payments and distributions in furtherance of the purposes set forth in Section D. No substantial part of the activities of the organization shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the organization shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of or in opposition to any candidate for public office.  Notwithstanding any other provision of these articles, the organization shall not carry on any other activities not permitted to be carried on (a) by an organization exempt from federal income tax under section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code, or (b) by an organization, contributions to which are deductible under section 170(c)(2) of the Internal Revenue Code, or the corresponding section of any future federal tax code.

Section F.  Distribution of assets upon dissolution of the organization:  Upon the dissolution of this organization, assets shall be distributed for one or more exempt purposes within the meaning of section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose.


Article IV
Membership and Dues

Section A. Any parent or legal guardian of a student attending Highland View School or any administrator, teacher, or teacher aide on the staff of Highland View School is eligible for membership in the organization.

Section B. Only members of the organization shall be eligible to participate in the business meetings, vote, or to serve in any of its elective or appointive positions.

Section C. The organization shall conduct an annual enrollment of members in September of each year, but persons may be admitted to membership at any time.

Section D. Changes in dues may be recommended by the Executive Board and approved by the membership at the last general membership meeting of the school year.

Section E. Each membership consists of up to two adults who are either a parent, step-parent, or guardian of a student attending Highland View School. Membership for eligible staff members is for one adult.

Section F. Any member who fails to pay any indebtedness due this organization within 30 days after receipt from the treasurer of written notice thereof shall thereon forfeit his good standing and shall so remain until such indebtedness is paid in full. Only members in good standing may exercise the voting privilege and hold office in this organization.


Article V
Officers and their Election

The officers of this organization shall be a President, Vice-President, Secretary, and Treasurer. The officers shall be elected as follows:

Section A. The president shall appoint a nominating committee, consisting of at least three and always an uneven number, which shall submit the names of consenting candidates for the various organization offices to the organization at the general election meeting. At this meeting, nominations for all offices to be filled in the succeeding year may also be made from the floor. (Notices of the slate of candidates will be sent to each member at least 10 days before the election.)

Section B. The general election meeting shall be held no later than May 31 of each year, at a time and place determined by the executive board, and two weeks prior written notice thereof shall be given to each member of the organization by the secretary. Such notice shall include the names of all nominees approved by the nominating committee and a statement that these nominees will be voted upon at this general election meeting.

Section C. All officers shall be elected annually and shall take office on July 1, and shall hold office for one year from that date.

Section D. The election shall be by ballot by those present and qualified to vote. A plurality vote shall be necessary to elect.

Section E. Officers shall be elected by ballot unless there is only one nominee for a given office, in which case a voice vote is permitted.

Section F. REMOVAL: Any officer of this organization may be removed from office for good cause by two-thirds vote of the members in person and voting. No removal shall be put to vote unless written notice thereof, stating the proposed action, shall have been sent to each member of this organization at least two weeks prior to the meeting at which the vote on the proposed removal is to be taken.


Article VI
Duties of Officers

Section A. The president shall preside at all meetings of the organization and of the Executive Board; shall perform such other duties as may be prescribed in this Constitution and By Laws or assigned by the organization or by the executive board; shall coordinate the work of the officers and committees of the organization; and shall serve as a liaison to all committees.

Section B. The vice-president shall act as an aide to the president, perform duties as directed by the president, and shall perform the duties of the president in the absence or disability of that officer to act.

Section C. The secretary shall record the minutes of all meetings of the organization and of the executive board; shall maintain a membership list; shall keep historical records of the organization; shall have a current copy of the bylaws; and shall perform such other duties as may be delegated.

Section D. The treasurer shall have custody of all of the funds of the organization; shall keep a full and accurate account of receipts and expenditures; shall report financial indebtedness of members, in excess of 30 days, to the executive board members on a monthly basis; and shall make disbursements as authorized by the president, executive board, or organization. The treasurer shall present a financial statement at every meeting of the organization and at other times when requested by the executive board.

Section E. All officers shall:

1. Perform the duties prescribed in the parliamentary authority in addition to those outlined in these Bylaws and those assigned from time to time.

2. Deliver to their successors all official material not later than July 1.
Article VII
Executive Board

Section A. The members of the executive board shall be the president, immediate past president, vice-president, secretary, and treasurer.

Section B. Meetings of the executive board shall be held at such time and place as the board shall determine.

Section C. The presence in person of a majority of its members shall constitute a quorum at any meeting of the executive board.

Section D. In addition to those duties and powers, express and implied, set forth elsewhere in these Bylaws, the executive board shall have the following duties and powers:

1. to transact necessary business in the intervals between organization meetings and such other business as may be referred to it by the organization;

2. to create committees;

3. to approve the plans of the committees;

4. to present a report at the regular meetings of the organization;

5. to appoint a bank or banks for the deposit of the funds of this organization;

6. to annually select an auditor or an auditing committee to audit the treasurer’s account;

7. to prepare and submit to the association for adoption a budget for the year;

8. to approve routine bills within the limits of the budget;

9. to approve non-routine bills outside the regular budget not to exceed $200.


Article VIII
Vacancies

Section A. If the office of president shall become vacant for any reason, the vice-president shall assume that office. In the event of a vacancy in any other office, the executive board shall appoint a member to fill the unexpired term.

Section B. In the event any officer-elect, before his term of office commences, is unable or refuses for any reason to serve, the executive board shall appoint an interim officer who shall serve until a special nomination-election meeting can be convened after the fall school opening.


Article IX
Meetings

Section A. Regular meetings of this organization shall be held no less than once every two months at a time and place recommended by the executive board and announced at the first meeting of the year. Except as otherwise specifically provided in these Bylaws, notice of regular meetings shall be given in such a manner as the executive boards deems proper. Five days notice shall be given of a change in date.

Section B. Special meetings of this organization may be called by the president and shall be called by the president when requested by the executive board at a time and place determined by the person or body requesting the same. Notice of special meetings setting forth the purpose, time and place thereof shall be given to each member of this organization at least two weeks prior to the date thereof.

Section C. Except as otherwise specifically provided, the act of a majority of the members present at any meeting shall be the act and decision of the entire organization.


Article X
Committees

Section A. From time to time, the president may appoint, with the approval of the executive board, such Committees as may be necessary in the president’s judgment or the judgment of the executive board.

Section B. All committees shall consist of a chairperson or co-chairpersons and as many members as shall be considered necessary. Each chairperson shall serve a term concurrent with that of the appointing president.

Section C. Each committee, through its chairperson, shall report, either verbally or in writing, each month to the president unless otherwise specified. No committee work shall be undertaken without the consent of the executive board.


Article XI
Fiscal Year

The fiscal year of this organization shall be July 1 through June 30.



Article XII
Parliamentary Practices

Except as otherwise specifically provided in these Bylaws, all questions of Order or Procedure with respect to any meeting or action of this organization, its executive board, or any committee appointed hereunder shall be determined in accordance with Robert’s Rules of Order Newly Revised, as revised from time to time.


Article XIII
Amendments

Section A. These Bylaws may be amended at any regular or special meeting of this organization by the affirmative vote of two-thirds of the members present in person and voting, provided the organization has previously considered the merits of the amendments.

Section B. No amendment shall be put to vote unless written notice thereof, stating the proposed amendment, shall have been sent to each member of this organization at least two weeks prior to the meeting at which the vote on the proposed amendment is to be taken.

Section C. A committee may be appointed to submit a revised set of bylaws as a substitute for the existing bylaws by a majority vote, of those present and voting, at a meeting of the organization. The requirements for adoption of a revised set of bylaws shall be the same as in the case of an amendment.
